BUYO Terms of Service & B2B Vendor Agreement

Last updated: February 2026 · Slagelse, Denmark

1. Parties

This agreement is between BUYO ApS (CVR pending), Slagelse, Denmark ("BUYO") and the Vendor identified by the CVR number provided at registration ("Vendor").

2. Services

BUYO operates a hybrid local-delivery marketplace. The Vendor may list products, receive multi-stop courier deliveries, and use BUYO's logistics tools. BUYO acts as a service provider, not a buyer or reseller of the Vendor's goods unless explicitly agreed.

3. Fees & payouts

  • Platform fee: 5% commission on completed marketplace orders processed through BUYO checkout.
  • Delivery pricing: Delivery is calculated per route based on distance, package eligibility, route and availability. The full quote is shown to the customer before payment. Private customers and businesses use the same delivery price model.
  • Settlement: Payouts to vendors are made by bank transfer on a regular schedule. Specific cycle terms are agreed during onboarding.
  • Soft enforcement: invoices unpaid more than the agreed window trigger an on-screen warning and reminder email. Repeated non-payment may lead to account suspension.
  • Electronic invoicing: by accepting these terms you accept that BUYO delivers invoices and credit notes electronically (PDF) to the billing email address you have supplied. The accepted terms version and timestamp are recorded on your account and bookings. You are responsible for keeping your billing email up to date.

4. CVR & identity

The Vendor warrants that the CVR number provided at registration is valid, currently registered with the Danish Business Authority (Erhvervsstyrelsen), and belongs to the legal entity operating the storefront. BUYO may verify the CVR against public DK registries at any time.

5. Vendor obligations

  • Maintain accurate pickup address, contact phone, and stock availability.
  • Pack parcels in compliance with the 20 kg per-delivery weight cap.
  • Comply with Danish consumer protection law (Forbrugeraftaleloven) for B2C sales.
  • Respond to customer-service tickets within 48 hours.

6. Cancellations

Vendors and customers may cancel an order free of charge within 15 minutes of placement and before a courier has accepted the job. After that the booking is non-refundable. Modifications are allowed until the courier marks the parcel as picked up; thereafter, changes must be coordinated via the in-app courier chat.

7. Liability

BUYO's liability for damaged or lost parcels is capped at the declared value of the parcel at booking (default 0 DKK if not declared). Vendors are encouraged to declare value for high-priced items and consider their own insurance for goods above 1,000 DKK.

8. Data & privacy

BUYO complies with GDPR. Vendor data (CVR, IBAN/Reg+Konto, P-nummer, contact details, logo, website) is used solely for service delivery, payouts, customer support, and legal compliance. See our Privacy Policy for full details.

9. Termination

Either party may terminate this agreement with 30 days written notice. BUYO may suspend access immediately in case of fraud, repeated non-payment, or breach of Danish law.

10. Governing law

This agreement is governed by Danish law. Disputes are resolved exclusively in the courts of Slagelse, Denmark.
